Terms of Use

These Terms of Use ("Terms") govern your access to and use of closedmarket.co.uk and any related services (the "Platform"), operated by BMV Hub L.L.C-F.Z trading as closedmarket. By accessing the Platform you agree to these Terms.

1. Eligibility & membership

The Platform is invite-only. You must be 18+, have authority to act for any business you represent, and pass our verification checks. We may decline, suspend or revoke access at our discretion.

2. Your account

• You're responsible for all activity under your account.
• Keep credentials confidential and notify us immediately of any unauthorised use.
• You must provide accurate information and keep it up to date.

3. Acceptable use

You agree not to:

• Scrape, copy, redistribute, or republish listings or member data.
• Approach sellers or counterparties outside the Platform to circumvent fees or rules.
• Submit false, misleading or fraudulent information.
• Use the Platform for money laundering, sanctions evasion or any unlawful purpose.
• Interfere with the security or integrity of the Platform.

4. Listings & transactions

closedmarket facilitates introductions between members. We are not a party to any transaction between members, are not an estate agent, and do not provide legal, tax or investment advice. Members are responsible for their own due diligence and engaging appropriate professional advisers.

5. Fees

Membership and transaction terms are set out in your member agreement. Where we state that closedmarket covers legal costs for sellers, that applies on the terms communicated to that seller at offer stage.

6. Intellectual property

All Platform content, branding, software and data compilations are owned by us or our licensors. We grant you a limited, revocable, non-transferable licence to use the Platform for its intended purpose only.

7. Confidentiality

Information shared inside the Platform — including listings, member identities and deal data — is confidential. You may use it only to evaluate or transact within closedmarket.

8. Disclaimers

The Platform is provided "as is". To the maximum extent permitted by law we exclude all implied warranties. We do not guarantee that listings, valuations or third-party data (e.g. Land Registry, AVM providers) are complete or error-free.

9. Liability

Nothing in these Terms limits liability for death, personal injury caused by negligence, or fraud. Subject to that, our total liability to you for any claim arising from the Platform is limited to the greater of (a) the fees you paid us in the 12 months before the claim, or (b) £100.

10. Termination

We may suspend or terminate your access at any time for breach of these Terms, regulatory reasons or to protect the network. You may close your account at any time by contacting us.

11. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, save that we may bring proceedings in any jurisdiction where you reside or do business.
